Corporate Transactions

Investment firms are entrepreneurial cores which attract talented, innovative, commercially driven members, employees and clients. This naturally leads to a steady flow of private corporate transactions and projects, either undertaken by the firm in principal or overseen and coordinated by the firm for their clients.

We provide a range of advisory and support services for an investment firm undertaking, overseeing or coordinating a corporate transaction. This service includes advice on the transaction itself, putting together the respective legal and deal teams, investment banks, production of documentation, negotiating terms with the other side, and coordinating with other advisors working on the matter. Examples of such transactions and projects that investment firms may find themselves (or their clients) regularly involved with, include, mergers and acquisitions, venture capital, corporate restructures, capital raising, management restructures, joint ventures, incentive plans, and transactional due diligence.

Investment firms require specialist attention when it comes to merger and acquisition activity in order to properly manage regulatory issues and client/asset attainment. We are able to coordinate and arrange disposals, acquisitions and/or mergers of investment firms and accept both buy-side and sell-side mandates. We work with a diverse network of corporate finance experts who are focused solely in the financial services arena. We are able to advise an investment firm on its preparation for a sale, acquisition or merger and also match up suitable buyers and sellers via its network.

We work with small to mid-sized venture capital firms to provide a variety of advisory and front office support services. For example, we advise on and provide operational and execution support on matters such as defining investment strategies, negotiating and drafting term sheets, structuring corporate governance, instructing and coordinating lawyers and other service providers, reviewing valuation models, reviewing performance, and overseeing and coordinating deals.
